Distant Affiliate Common Counsel at Automattic

We’re on the lookout for a US-qualified lawyer who’s properly versed in points related to our late-stage personal enterprise, together with advising on securities legislation compliance and company governance;dealing with advanced worldwide M&A, fairness, and debt transactions; establishing and managing worldwide subsidiaries; and operating worker fairness packages. This place stories to our Common Counsel. 

On this position, you’ll:

• Lead all areas associated to the corporate’s world securities legal guidelines issues and associated compliance.
• Handle our community of world subsidiaries, together with managing all subsidiary board conferences, advising and executing modifications to our entity construction, implementing intercompany agreements, and helping with native compliance necessities.
• Help with board agendas and supplies, and maintain information of all conferences and company actions.
• Oversee our modern inventory plan for Automatticians, and construction, negotiate, and execute inventory sale transactions.
• Lead deal execution for fundraising and M&A transactions.
• Handle our funding portfolio and lead deal execution for enterprise investments.
• Design authorized and enterprise processes that allow Automattic to scale internationally. 

We’d love to listen to from you if you happen to:

• Have a JD from a US-accredited legislation college and eight+ years’ expertise in authorized apply (a mixture of legislation agency and in-house expertise strongly most well-liked), particularly when you have expertise constructing or main a company authorized crew.
